(a) The authority shall consist of seven members, as follows: (1) The Treasurer, who shall serve as the chair of the authority. (2) The Director of Finance. (3) The Controller. (4) The Director of Transportation. (5) The executive director of the commission. (6) A local agency representative appointed by the Senate Committee on Rules. (7) A local agency representative appointed by the Speaker of the Assembly. (b) Members of the authority shall serve without compensation, but the authority may reimburse its members for necessary expenses incurred in the discharge of their duties. (c) The Director of Finance may designate an employee of the Department of Finance to act for him or her at all meetings of the authority. (d) The director of the department may designate an employee of the department to act for him or her at all meetings of the authority. (e) The executive director of the commission may designate an employee of the commission to act for him or her at all meetings of the authority. (f) The chair of the authority shall appoint an executive director. The offices of the authority shall be located in the office of the Treasurer. The authority may, by resolution, delegate to one or more of its members or its executive director or any employee of the authority such powers and duties that it may deem proper, including, but not limited to, the power to enter into contracts on behalf of the authority. (g) Four members of the authority shall constitute a quorum. The affirmative vote of a majority of the members present at a duly constituted meeting of the authority shall be necessary for any action taken by the authority. Additionally, the authority may not take any action unless a quorum is present at the time of the vote.
